Slovenian Limited Liability Company Formation Sl company d. O. O. Limited Liability Company is the most often established type of company in Slovenia. The accomplishment of formation process lasts 1-2 months. Company can be established by one founder and the Minimum Share Capital is 7 500 EUR and minimum share for every founder is 50 EUR. In case of sole founder the share capital has to be paid in whole amount, otherwise at least 1 / 3 of the share capital should be provided (1 / 4 of the share capital of each shareholder) before registration process will start. First step in formation process is preparation of neccessary company`s deeds: documents that have to be obtained by founder: - Authentical photocopy of a founder`s and representative`s passport and its translation by a court interpreter, - Authenticated signature of a representative, authentication apostilled by the Slovenian embassy and translated by a court interpreter (translation will be provided by our company) , documents provided by our company and have to be signed by founder (s) : - Articles of incorporation, - Statements, - Authorisation to create and obtain the tax number translated by a court interpreter (the document has to be signed before a notary) . Preparation of all documents is followed by bank account opening, where the required amount of the share capital has to be deposited. After getting a receipt from the bank and paying court fees in commercial bank, the founders can apply for court registration. Registration is followed by buying a company rubber stamp, notification of Statistical Office and getting active number. The whole process is finished by obtaining tax registration number, or by notification of Emplyment Office and the Pension Fund, in case the new established company intends to have employees.
